Terms & Conditions

What Some Words Mean (Definitions)

“Client,” “you,” “your,” “they,” or “them”: The person or organization that engages Outer Nest Ltd.
“Contract” or “agreement”: The written outline or commitment we create for a project, specifying the work to be performed, the schedule for delivery, and the applicable fees.
“Deliverables”: The finished files, designs, or other creative assets we provide to you once the promised work is completed.
“Outer Nest Ltd,” “we,” “us,” or “our”: The design agency that supplies your design and digital solutions.
“Services”: The support we render in the fields of design and technology.
“Website”: The online site where you can explore more about our offerings and products.

Agreeing to These Terms

You agree to our Terms & Conditions when you go to the Outernest website, ask us to do your project, or sign a contract with us. Along with your own contract, these Terms make up the whole agreement between us for that project. Please don’t use our website or work with us if you don’t agree to these Terms.

Our Digital and Design Services

We are a design agency in the UK that offers creative and digital services such as:

  • Making a plan for your brand (Brand Strategy)
  • Creating the Brand Identity for you
  • Making plans for how your website and apps will look and work ([UI/UX Design])
  • [Building your websites/webpages]
  • Creating [graphics and packaging]
  • Using our [SEO Optimisation] methods to help you go higher on Google
  • Helping you with your Digital marketing
  • Maintenance of your website

Your particular Contract will spell out the details of what we’ll undertake for your project.

Quotes, contracts, and payments for projects

We’ll give you a quote in British Pounds (£), which is good for 30 days most of the time. Before we start most jobs, we’ll ask for a down payment, which is usually 50% of the overall cost. You must pay the rest of the balance before we send you the final files, which will be after we’ve finished the job and you’ve accepted it. The payment schedule will be spelled out in your contract. You can pay us by bank transfer or through Stripe, which takes major credit and debit cards including Visa, Mastercard, and American Express, as well as any payment methods that Stripe provides in your area. Your Contract will include the payment information.

How Revisions Work

The pricing you were quoted will include a certain number of rounds of revisions. If you need more changes than that, we’ll discuss how much extra work is needed and agree on a fair price, depending on how much time and labour are expected. The cost of extra adjustments may depend on how much work needs to be done. 

Timeframes for the Project

The contract will specify a deadline for your project, but you need to send in the needed materials and feedback on time. We may push back the completion date if you fail to provide us with the necessary assets or approvals on time. Things beyond our control, such as issues with third parties or inadequate responses from you, may cause delays.

What We Need from You (Your Responsibilities)

To do our best work, you need to provide us all the material, data, and assets we require for the project in a timely and useable way. This includes text, pictures, logos (in the right file types), and other rules you have for your brand. If you don’t accomplish this, the timetable may get longer or the costs may go up.

Who Owns Creative Work (Intellectual Property)?

You own the final designs and creative work made for your project once you pay the entire invoice. Unless you tell us in writing in the contract that we can’t, we can show off the finished work on our website, in our portfolio, and in our marketing.

What You Have to Do

To achieve the best results, ensure that you provide us with all the materials needed—text, images, logos (in the right file formats), and brand rules—on time and in a format we can use. If assets are late or absent, costs may go up or turnaround times may be longer.

If you need to cancel the project, please note that the initial deposit is usually non-refundable.

If you decide to stop the work after we have started, the initial deposit is usually not refundable. Depending on the amount of work already completed, your contract may stipulate additional fees for cancellation. Should we halt the project due to circumstances beyond your control, we will reimburse you for any unfinished work.

Policy on Refunds

Outer Nest LTD looks at each request for a refund on its own. The initial payment is usually for work that starts right away and can’t be refunded. If we stop the project, you’ll get a refund for any work that hasn’t been done. If the final product doesn’t meet the agreed-upon quality requirements (not only because of personal choice) after all the required changes, or if we create major delays, we may provide you a partial refund. You will not receive a refund for requests to change your mind, client-caused delays, or payments to third parties with your consent. To request a refund, please email refund@outernest.co.uk within two days of the issue, providing a clear explanation of the situation and any supporting evidence. We will look over the request and respond back to you within three business days. Refunds will be sent back using the same payment method as the initial payment. Any disagreements will be handled according to the rules in Section 16.

Confidentiality (Keeping Your Information Private)

We promise to keep any private information you provide us safe and will only release it with your permission or if the law requires it. You must keep any proprietary information you get from us private as well.

Warranties with Restrictions (What We Can't Promise)

We excel at design and digital services, and we will do our best to meet your needs, but our services are “as is.”. We can’t promise that they will be perfect, without any mistakes, or exactly what you expected.

Indemnification (If Something Goes Wrong)

If you break these terms, use our work in a way that isn’t right, or give us things that violate someone else’s freedoms, you agree to defend and pay for any claims, damages, or legal fees that come up.

Links to Other Sites

There may be links to third-party sites on our website or in our emails. Use them at your own risk; we can’t control their work, actions, or privacy protection. We are not responsible for any problems that arise when you visit those sites.

Law and How to Settle Disputes

The laws of England and Wales apply to these terms and any contracts that go along with them. The courts of England and Wales will settle any legal problems.

Changes to These Terms

Occasionally, we may change these terms. We will put new versions on our website. You agree to the updated conditions if you continue using our services or start new projects after the revisions.

Complete Agreement

These terms and your contract make up the whole agreement between us regarding the services supplied. They replace any previous oral or written agreements.
